These Terms of Service (the “Terms”) constitute a legally binding agreement between you (“User,” “Freelancer,” “Contractor,” “you,” or “your”) and Deccan.ai, Inc., a Delaware corporation, together with its affiliates and subsidiaries, including Deccan AI Automation Private Limited where applicable (“Deccan AI,” “Company,” “we,” “us,” or “our”), governing your access to and use of Deccan AI’s websites, platforms, AI environments, research environments, applications, APIs, datasets, communications, annotation tools, model evaluation systems, workflows, projects, and related services (collectively, the “Services”).

By accessing or using the Services, creating an account, participating in any project, or clicking to accept these Terms, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy.

If you are entering into these Terms on behalf of an entity, you represent and warrant that you have authority to bind that entity.

1. SERVICES

Deccan AI provides enterprise AI, automation, data operations, model evaluation, annotation, RLHF, reinforcement learning environments, research participation workflows, consulting, data collection, and related AI-enabled services for Deccan AI and its customers.

The Services may include:

• AI training and evaluation workflows;
• annotation and labeling tasks;
• prompt engineering;
• quality review;
• model benchmarking;
• enterprise AI environments;
• data collection and processing;
• contractor/freelancer workflows;
• communications and collaboration systems; and
• related software and operational infrastructure.

Deccan AI may modify, suspend, discontinue, or update any portion of the Services at any time.

2. ELIGIBILITY

You represent and warrant that:

(a) you are at least eighteen (18) years old;
(b) you are legally permitted to access and use the Services;
(c) you are not prohibited from receiving U.S. services or software under applicable export control or sanctions laws;
(d) you will provide accurate and complete information;
(e) you will maintain only one account unless expressly authorized;
(f) your use of the Services will not violate any law, contractual obligation, or third-party right; and
(g) you are not using the Services to compete with Deccan AI.

3. ACCOUNT REGISTRATION AND SECURITY

You are responsible for maintaining the confidentiality of your account credentials and for all activity occurring under your account.

You agree to:

• provide accurate registration information;
• promptly update inaccurate information;
• maintain secure passwords;
• use multi-factor authentication where available;
• immediately notify us of unauthorized access or security incidents; and
• not share accounts or credentials.

Deccan AI may suspend or terminate accounts that violate these Terms or create security, legal, operational, or reputational risk.

4. FREELANCER, CONTRACTOR, AND RESEARCH PARTICIPATION TERMS

Where you participate in projects, research environments, annotation workflows, contractor engagements, or similar activities:

1. you acknowledge that participation opportunities are not guaranteed;
2. you may be required to complete identity verification, onboarding, sanctions screening, tax documentation, or background verification where lawful;
3. additional project-specific terms, statements of work, policies, customer requirements, or consent forms may apply;
4. you agree to follow all applicable customer requirements, project instructions, data handling rules, and security protocols;
5. you acknowledge that projects may involve confidential, proprietary, regulated, or sensitive data;
6. you shall not use project data or outputs for personal, commercial, competitive, training, or benchmarking purposes; and
7. you acknowledge that your engagement may be terminated at any time in accordance with these Terms or applicable agreements.

5. INDEPENDENT CONTRACTOR STATUS

Unless expressly agreed otherwise in writing, your participation in any contractor or freelancer workflow does not create an employment relationship with Deccan AI.

You acknowledge and agree that:

• you are an independent contractor;
• you control your own schedule and methods, subject to project requirements and security obligations;
• you are responsible for your taxes, insurance, licenses, and legal obligations;
• Deccan AI does not provide employee benefits;
• security, compliance, quality assurance, and customer requirements do not create an employment relationship; and
• nothing in these Terms creates a partnership, agency, joint venture, fiduciary relationship, or employment relationship.

6. PRIVACY

Your use of the Services is subject to our Privacy Policy.

By using the Services, you consent to the collection, use, processing, disclosure, transfer, and retention of personal information as described in the Privacy Policy.

7. ACCEPTABLE USE

You agree not to:

(a) violate any law, regulation, or third-party right;
(b) infringe intellectual property rights;
(c) reverse engineer, decompile, scrape, crawl, or copy the Services;
(d) bypass security controls;
(e) access data or systems without authorization;
(f) upload malware, malicious code, or harmful content;
(g) use bots or automation without authorization;
(h) create fake accounts or impersonate others;
(i) share confidential information improperly;
(j) retain, export, screenshot, or download project data without authorization;
(k) use customer or project data for AI model training, benchmarking, analytics, or personal use;
(l) engage in fraud, manipulation, collusion, or cheating;
(m) misuse payments, incentives, or project systems;
(n) interfere with Service operations; or
(o) engage in harmful, abusive, unlawful, discriminatory, dangerous, or offensive conduct.

8. TRUST AND SAFETY

Deccan AI maintains trust and safety, anti-fraud, integrity, quality assurance, and monitoring systems designed to protect our customers, projects, systems, users, and datasets.

Where lawful and reasonably necessary, Deccan AI may:

• monitor project activity;
• log access and usage information;
• review work quality;
• analyze device, browser, and session metadata;
• conduct fraud detection;
• investigate misuse or policy violations;
• conduct project-specific proctoring;
• verify identity and location information; and
• restrict or revoke access.

Where expressly disclosed in project instructions or onboarding materials, monitoring may include:

• screen monitoring;
• session recording;
• browser activity monitoring;
• webcam verification;
• microphone access; and
• project integrity reviews.

Monitoring is limited to project, compliance, security, fraud prevention, legal, and operational purposes.

9. PAYMENTS

Where applicable, payments are subject to:

• project completion;
• quality review;
• fraud and trust-and-safety verification;
• customer acceptance;
• tax documentation compliance;
• invoice submission requirements; and
• applicable law.

Deccan AI may withhold, reverse, offset, delay, deny, or recover payments where:

• fraud is suspected;
• policy violations occur;
• work quality is materially deficient;
• unauthorized tools or conduct are used;
• duplicate accounts exist;
• customer rejection occurs; or
• legal or compliance obligations require it.

10. TAXES

You are solely responsible for taxes arising from payments made under the Services.

Where applicable, you agree to provide:

• W-9 forms;
• PAN information;
• tax declarations;
• withholding documentation; and
• other legally required information.

Deccan AI may issue tax forms including 1099-NEC forms where legally required.

11. CONFIDENTIALITY

You may receive confidential, proprietary, trade secret, customer, project, research, or regulated information.

You agree to:

• keep such information confidential;
• use it solely for authorized purposes;
• implement reasonable safeguards;
• follow project security requirements;
• avoid unauthorized disclosures;
• return or delete information upon request; and
• continue confidentiality obligations after termination.

12. DATA PROTECTION

You agree to comply with:

• applicable privacy laws;
• project-specific privacy requirements;
• customer instructions;
• Deccan AI security policies; and
• applicable DPAs or data handling requirements.

You shall not:

• use personal information for personal purposes;
• train models on project data;
• retain copies of project data;
• transfer data outside authorized systems; or
• permit unauthorized third-party access.

13. INTELLECTUAL PROPERTY

All Services, software, systems, workflows, interfaces, models, datasets, documentation, content, technology, and related materials are owned by Deccan AI or its licensors.

All work product, annotations, labels, prompts, responses, outputs, deliverables, feedback, datasets, improvements, inventions, and related materials created in connection with the Services are works made for hire to the fullest extent permitted by law and belong exclusively to Deccan AI or its customer, as applicable.

To the extent ownership does not automatically vest, you irrevocably assign all rights to Deccan AI.

14. FEEDBACK

Any feedback, ideas, suggestions, or recommendations you provide may be used by Deccan AI without restriction or compensation.

15. THIRD-PARTY SERVICES

The Services may include third-party systems, integrations, tools, or links.

Deccan AI is not responsible for third-party services and does not guarantee their availability, functionality, or security.

16. DISCLAIMERS

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.”

TO THE MAXIMUM EXTENT PERMITTED BY LAW, DECCAN AI DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, RELIABILITY, OR AVAILABILITY.

17. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

(a) DECCAN AI SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES;

(b) DECCAN AI SHALL NOT BE LIABLE FOR LOSS OF PROFITS, DATA, GOODWILL, BUSINESS OPPORTUNITY, OR REPUTATION;

(c) DECCAN AI’S AGGREGATE LIABILITY SHALL NOT EXCEED THE GREATER OF (I) USD $100 OR (II) THE AMOUNTS PAID TO YOU BY DECCAN AI IN THE THREE (3) MONTHS PRECEDING THE CLAIM.

18. INDEMNIFICATION

You agree to indemnify, defend, and hold harmless Deccan AI and its affiliates, officers, employees, customers, licensors, contractors, and agents from claims, liabilities, damages, costs, and expenses arising from:

• your use of the Services;
• violation of these Terms;
• infringement claims;
• fraud or misconduct;
• unlawful conduct;
• confidentiality or privacy breaches; or
• your content or work product.

19. TERMINATION

Deccan AI may suspend or terminate access at any time for:

• policy violations;
• legal or compliance risk;
• fraud concerns;
• customer requirements;
• inactivity;
• operational reasons; or
• security concerns.

Upon termination:

• your access rights end immediately;
• you must stop using the Services;
• confidentiality obligations continue; and
• you must return or delete confidential information and project data.

20. ARBITRATION

PLEASE READ THIS SECTION CAREFULLY.

Except for intellectual property or injunctive claims, disputes shall be resolved through binding arbitration administered by the American Arbitration Association.

The arbitration shall:

• be conducted on an individual basis only;
• not permit class actions or representative claims;
• be confidential;
• occur in Delaware unless otherwise required by law; and
• be governed by the Federal Arbitration Act.

21. GOVERNING LAW

These Terms are governed by Delaware law, excluding conflict of law principles.

22. EXPORT CONTROLS AND SANCTIONS

You agree to comply with applicable export control, sanctions, anti-corruption, and anti-boycott laws.

23. CHANGES TO TERMS

• We may modify these Terms from time to time.
• Updated Terms will be posted with a revised effective date.
• Continued use of the Services constitutes acceptance of revised Terms.
